Payments terms

These terms apply when you switch on Stakkd Payments so your customers can pay your invoices online. They add to our Terms of Service. If the two disagree about payments, these terms win. “You” means the business that holds the Stakkd account. “Your customer” means the person or business paying your invoice.

How Stakkd Payments works
Payments are processed by Stripe, not by Stakkd. When you switch on Stakkd Payments you open a Stripe account through Stakkd and accept Stripe’s Connected Account Agreement. Stripe carries out identity and business checks and decides whether to approve your account.
You are the merchant. The sale is between you and your customer. Your business name appears on your customer’s card statement.
Stakkd is a software provider. We are not a bank or a payment institution. We never hold your money. Money goes from your customer to your Stripe balance and from there to your bank account.

Who can use it
You must be a business based in the United Kingdom with a UK bank account. [CONFIRM: UK only at launch]
The details you give Stripe must be true and kept up to date.
You must not take payments for anything on Stripe’s list of restricted businesses. Stripe can restrict or close an account that breaks its rules. That decision is Stripe’s and we cannot overturn it.
Fees
Stripe charges a processing fee on each payment and takes it from the payment before paying you. The rates are Stripe’s published UK rates and are shown in your payments settings. Stripe can change them.
Stakkd does not currently charge a fee per payment. Stakkd Payments is part of the payment processing module, which is priced as shown in your plan.
If we ever introduce a Stakkd fee per payment we will tell you at least 30 days before it starts [CONFIRM: notice period] and you can switch Stakkd Payments off before then.
You must not add a charge for paying by card. UK law bans surcharges on consumer debit and credit cards. Your customer pays the invoice total and nothing more.
Getting paid
Stripe pays your balance into your bank account on Stripe’s payout schedule. We do not control the timing.
Stripe can delay a payout or hold a reserve, for example while it verifies your account or if there are disputes. We will show you the account status Stripe gives us.
Refunds
You can refund a payment in full or in part from the invoice in Stakkd. Only users you have given the refund permission can do this.
The refund comes out of your Stripe balance. If the balance is too low Stripe may take it from your bank account.
Stripe does not give back its processing fee when you refund. A full refund still costs you the original fee.
Your refund policy and your obligations under consumer law are your responsibility.
Disputes and chargebacks
If your customer disputes a payment with their bank, Stripe takes the disputed amount from your balance and charges its dispute fee. If you win the dispute Stripe returns the amount.
You respond to a dispute with evidence through your Stripe dashboard. Stakkd shows you that a dispute is open and when evidence is due.
You are responsible for disputes, chargebacks and any negative balance on your Stripe account.
Your responsibilities
Send accurate invoices and supply what you invoice for.
Charge and account for VAT correctly.
Deal with your customers’ questions and complaints about payments.
Keep your Stakkd logins secure and give payment and refund permissions only to people you trust.
Do not use Stakkd Payments to pay yourself, to move money for someone else, or for anything illegal.
Card details and security
Your customer enters card details on a page hosted by Stripe. Card numbers never pass through or get stored on Stakkd’s systems.
Stakkd stores a payment reference, the amount, the date, the card brand and the last four digits so you and your customer can recognise the payment.
Personal data
For your customers’ personal data you are the controller and Stakkd processes it on your behalf, on the data processing terms in our Terms of Service.
Stripe is an independent controller for the data it needs to process payments and prevent fraud. Stripe’s privacy policy applies to that.

Accounting sync
If you connect accounting software, Stakkd records each payment at the full amount your customer paid and records Stripe’s fee as a separate expense. You choose the expense account and tax code. Stripe’s fees are generally exempt from VAT, so check the tax code with your accountant.
The figures are provided to help you. You are responsible for your own books and tax returns.
Test mode
Trial, demo and sandbox accounts can only take test payments. No real money moves in test mode.
If your Stakkd subscription lapses
If your Stakkd account becomes read-only because of an unpaid subscription, your customers can still pay invoices you have already sent, and those payments are still recorded. You cannot send new invoices or issue refunds from Stakkd until the account is active again. [CONFIRM: refunds blocked while read-only, or allowed]
Suspension and changes to the service
We can pause Stakkd Payments for your account if Stripe requires it, if the law requires it, or if we reasonably suspect fraud or a breach of these terms. We will tell you why unless the law stops us.
Payments depend on Stripe. If Stripe is unavailable, payments are unavailable. We may change the payment provider behind Stakkd Payments. If that needs you to do anything we will give you notice.
Liability
We are not responsible for Stripe’s decisions or actions, including account checks, holds, reserves, reversals and closures, or for losses caused by your customer’s bank.
Nothing here limits liability that cannot be limited by law. Otherwise the limits in our Terms of Service apply to Stakkd Payments too.
Switching off and leaving
You can switch Stakkd Payments off at any time in settings. Payments already made, and any later refunds or disputes on them, continue to be handled.
Your Stripe account was opened through Stakkd and is managed through Stakkd. If you leave Stakkd, Stripe pays out your remaining balance to your bank account in the normal way. Contact us if you need help with this.
Changes to these terms
We may update these terms. If a change is significant we will ask an administrator on your account to accept the new version before you can continue to use Stakkd Payments. We record who accepted each version and when.
Law
These terms are governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction. [CONFIRM: matches the main Terms of Service]
